Photography Policy -
I hereby enter into this release (the “Release”) and grant to Change Will happen and its successors, licensees,
sub-licensees, affiliates and assigns (collectively, “CWH”), the irrevocable right to use, for any and all purposes throughout the universe in perpetuity, the photograph(s)/ Video taken and/or to be taken of me by or on behalf of CWH, and the irrevocable right to use my name, image and likeness in and in connection with the Photographs/ Video.
I understand and agree that the foregoing means CWH may use the Photographs/ Video in any manner and medium (including, but not limited to, merchandise and print, electronic and digital media), in its sole discretion, and exercise any rights therein, including, without limitation, the right to reproduce, distribute, combine the Photographs/ Video with other materials, edit and/or alter the Photographs/ Video, as well as use the Photographs/ Video in any promotion and advertising of any material, media or merchandise in connection with which the Photographs/ Video is/are used, in perpetuity throughout the universe, in any and all manner, merchandise, means, media, devices, processes and technology now known or hereafter created, with no financial or other obligation to me
whatsoever. I understand and agree that I shall not be entitled to any compensation in connection with CWH’s use of the Photographs/ Video or my name, image or likeness in or in connection with the Photographs/ Video. I acknowledge that CWH is the sole and exclusive owner of all right, title and interest in and to the Photographs/ Video throughout the universe, including all copyrights therein.
I hereby release Intrepid from all claims and demands arising out of or in connection with any use of the Photographs/ Video and my name, image and/or likeness, including, without limitation, all claims based upon any right of publicity, defamation, privacy, droit moral (moral rights), unfair competition, copyright, trademark and any other personal and/or property rights. I understand that CWH is relying on the foregoing and that my permission is being given as an inducement for Intrepid to proceed with certain activities in connection with which the Photographs/ Video may be used. I represent and warrant that I am free to grant the rights granted to
CWH hereunder, unencumbered and without reservation, and that I have the full, complete and unrestricted right and authority to enter in this Release. This Release shall be irrevocable and I shall have no right to enjoin, restrain or in any way interfere with the production, promotion, advertising, distribution and/or other use of the Photographs/ Video or any work incorporating the Photographs/ Video. Without limiting any other provision contained herein, Intrepid shall have the right to assign this Release and any or all rights granted to it hereunder to any third party. I shall not have the right to assign this Release or any rights hereunder or to delegate any of my obligations hereunder; any assignment or delegation to the contrary shall be deemed void from inception.
I agree that the validity, interpretation and enforcement of this Release, and matters arising out of or related to this Release, its making, performance or breach, and related matters shall be governed by the internal laws of the State of New York or any state/country of the world (without reference to choice of law doctrine). Any legal action or proceeding concerning the validity, interpretation and enforcement of this Release, or
matters arising out of or related to this Release, its making, performance or breach, or related matters shall be brought exclusively in the courts of the State of New York in the County of New York or of the United States of America for the Southern District of New York,
and I hereby consent to the exclusive jurisdiction of those courts, waiving any objection to the propriety or convenience of such venues.
There are no oral promises, agreements, conditions, understandings, inducements, warranties or representations, expressed or implied, between Intrepid and me pertaining to the subject matter hereof that are not set forth in this Release. This Release constitutes the entire agreement between Intrepid and me pertaining to the subject matter hereof and supersedes all prior agreements and
understandings of cwh and me in connection herewith. This Release may not be modified, amended or terminated except by an instrument in writing signed by CWH and me.
